Herd is a singular term, hence it is more apt to say “is”. So Ramesh should be correct.

Here herd of sheep even though plural noun(collective), the action is same(eating).. So the noun becomes singular and take singular verb…. So Ramesh is correct..

or we can use flock of sheep instead of herd..
Yup, flock to be used for Sheep.Herd is used for cattle, cows.
